Terms of Service
Terms governing access to Nilyo, including its account, agent, connector, Team and prepaid subscription services.

1. Operator and acceptance
Nilyo is a commercial service operated by Unipile SAS, RCS Roanne 885 265 595, at 168 rue de la Rotonde, 42153 Riorges, France. By creating an account, accepting a Team invitation, starting a trial, purchasing a plan or using the service, you accept these Terms and the Privacy Policy.
The service is intended for professional and business use. “Personal” identifies a single-user plan; it does not change that intended use. You must be at least 18 and legally able to enter this agreement. If you act for a company, you confirm that you have authority to bind it. If you do not accept these Terms, do not use the service.
2. The service
Nilyo lets authorized users connect supported communication, email and calendar accounts through Unipile V2 and make supported data or actions available to an authorized agent, ATS or CRM connector. Capabilities vary by provider, account type, marketplace approval, connected product and granted permissions.
The service is a technical intermediary. It does not replace the connected provider, agent, ATS or CRM, and it does not guarantee that a third party will keep an API, feature or account available.
3. Accounts, Teams and authorization
- Provide accurate information and keep login, MFA, tokens and devices secure.
- Connect only accounts you own or are expressly authorized to use.
- You are responsible for instructions submitted by you and by agents or connectors you authorize.
- Each Team member has a separate identity, Scope and connected accounts. Team owners and administrators manage seats and membership but may not access a member’s provider content solely because the company pays.
- Pending Team invitations reserve seats. Removing a member frees the seat and may disable that member’s service if no other valid entitlement remains.
4. Acceptable use
You must use the service lawfully, respect third-party rights and comply with the rules of every connected provider. In particular, you must not:
- send spam, unlawful marketing, harassment, deceptive content or prohibited automated outreach;
- access another person’s account or data without authorization;
- circumvent provider limits, billing, account isolation, rate limits or security controls;
- upload malware, disrupt the service, probe it without written authorization or reverse engineer protected components;
- use results to make unlawful or solely automated decisions with significant effects on people;
- instruct an agent to take an external action unless you have the necessary authority, lawful basis and accurate recipient.
Unipile may rate-limit, block or suspend activity that creates legal, security, provider or platform risk.
5. Agents and external actions
An authorized agent can read provider context and perform explicit writes within the permissions you grant. You remain responsible for reviewing important outputs and instructions. Automated systems can misunderstand names, recipients or context; verify consequential messages, invitations, deletions and CRM/ATS writes.
The service uses stable provider identifiers and account ownership checks, but no technical control eliminates every user or third-party error. Do not use the service as the sole control for emergency, medical, legal, financial, employment or other high-risk decisions.
6. Trial, prices and payment
- An eligible account may receive a seven-day trial. A connected provider identity that already used a trial is not eligible for another one until six months after the previous trial ended.
- Paid plans are prepaid monthly or annually through Stripe. There is no postpaid usage charge or end-of-month billing based on peak connected accounts under the published Personal, Personal Plus and Team plans.
- Prices, currency and applicable taxes are shown before checkout. Annual plans are charged for the full annual period in advance.
- Subscriptions renew automatically for the same period until canceled. You may request cancellation through the available billing flow or at hello@nilyo.com; cancellation normally stops the next renewal and access continues through the paid period.
- Explicit plan, billing-interval and extra-seat changes may be charged or credited immediately on a prorated basis. Additional capacity is granted only after the required payment succeeds.
- Except where mandatory law provides otherwise, paid periods already started are not refundable and unused time is not converted to cash.
Nothing in these Terms limits mandatory consumer rights, including any applicable withdrawal or statutory conformity rights.
7. Failed payment and account lifecycle
If a renewal or required prorated payment fails, access may be suspended immediately and the relevant Unipile Scope disabled. Connected accounts are retained for a seven-day recovery window. Successful payment during that window restores eligible service and cancels scheduled deletion; otherwise connected provider accounts and local connection records may be deleted.
8. Suspension and termination
You may stop using the service and cancel renewal at any time. Unipile may suspend or terminate access for non-payment, unlawful or abusive use, a security threat, material breach, provider requirement or legal obligation. Where the situation permits, we will give notice and a reasonable opportunity to remedy it.
After termination, access ends and data is deleted or retained according to the Privacy Policy and applicable law. Provisions concerning payment, intellectual property, liability, confidentiality and disputes survive where their nature requires it.
9. Third-party services
LinkedIn, Meta, Google, Microsoft, Apple, Telegram, Stripe, Brevo, agent platforms, ATSs and CRMs are independent third parties with their own terms. You are responsible for keeping the necessary provider account and permissions. Unipile is not responsible for a third party’s suspension, API change, outage, content, decision or acts.
10. Intellectual property and user content
Unipile and its licensors retain all rights in the service, software, interfaces, designs, documentation and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the service during your valid trial or subscription.
You retain rights in content you submit or transmit. You grant Unipile only the rights necessary to host, process and transmit that content to provide, secure and support the service. You confirm that you have the rights and lawful basis needed to do so.
11. Availability and changes
The standard service is provided on an “as available” basis without a dedicated SLA unless agreed in writing. Maintenance, provider changes and security work may interrupt features. We may improve, replace or discontinue a capability, while seeking to give reasonable notice when a material paid feature is affected.
12. Warranties and liability
To the extent permitted by law, Unipile excludes implied warranties and is not liable for indirect, incidental, special or consequential loss, including loss of opportunity, profits, revenue, goodwill, data or use caused by the service or a third party. You are responsible for checking third-party data and maintaining appropriate safeguards before consequential actions.
These limitations do not apply where prohibited by law, including liability that cannot legally be excluded or limited and mandatory consumer protections.
13. Changes, law and contact
We may update these Terms for legal, security or service changes. Material changes will be communicated before taking effect when required. Continued use after the effective date constitutes acceptance; if you disagree, cancel before that date.
French law governs these Terms. Disputes fall within the competent French courts, without depriving consumers of mandatory protections or jurisdiction available in their country of residence.
